  • Counseling on regulatory and compliance concerns affecting investment funds, federally covered investment advisers, state-covered investment advisers and broker-dealers
  • Counseling mutual companies and other organizations on corporate governance matters
  • Counseling on the Investment Company Act and broker-dealer implications of the life settlement business
  • Counseling federal savings banks on federal and state investment management regulatory issues
  • Counseling clients with respect to corporate governance and fiduciary implications of joint venture relationships

Transactions:

Tom has been involved in the following transactions:

  • Assisted in the representation of Tampa Electric Company in issuance of two series of unsecured notes in an aggregate principal amount of $800 million
  • Assisted in the representation of New Mexico Gas Company, Inc., in issuance of three series of unsecured notes with a total value of $220 million
  • Assisted in the representation of Tampa Electric Company, TECO Finance and TECO Energy in credit facility increases and amendments
  • Assisted in the representation of New Mexico Gas Company, Inc., in two credit facility transactions
  • Assisted in the representation of Vericity, Inc., in its $150 million initial public offering of common stock
  • Assisted in the representation of U.S. Gas & Electric, Inc., in its acquisition by Crius Energy Trust for a total purchase price of approximately $172.5 million
  • Assisted in the representation of Mandarinfish Holding Corp., a purchaser entity backed by family office sponsors, in the acquisition of Professional Association of Diving Instructors from Providence Equity Partners
  • Represented GN Hearing, one of the world's largest manufacturers of hearing aids, in its acquisition of Audigy Group, a provider of business and performance management solutions to independent hearing care, otolaryngology, otology and neurotology practices and leading university programs in North America
  • Assisted in the representation of Tidal Solutions LLC, a managing general underwriter serving the North American specialty commercial marine market, in its sale to Venture Insurance Programs
