    Locke Lord Provides Counsel on High-Profile Deals Valued at More Than $32 Billion During 2015

    December 15, 2015 – Locke Lord transactional lawyers -- including those in the Corporate; Mergers and Acquisitions; and Private Equity and Venture Capital groups -- provided counsel to clients on deals valued at more than $32 billion during 2015. These transactions involve a broad range of industries including energy; insurance; and technology, media and telecommunications (TMT), among others.

    “During 2015, Locke Lord was fortunate to represent clients engaged in significant deals across several industries and sectors,” said Bill Swanstrom, Vice Chair of the Firm and Co-Chair of its Energy Practice. “In energy, midstream was where the action was throughout the year, and all indications are that activity in the midstream sector should continue strong in 2016.”

    In three high-profile transactions during 2015, Locke Lord lawyers:

    • Advised Dyax Corp. in its pending sale to Shire plc. Shire and Dyax announced that Shire will acquire Dyax for $37.30 in cash per Dyax share, for aggregate upfront consideration of approximately $5.9 billion. The transaction is expected to close in the first half of 2016. 
    • Provided legal counsel to NextEra Energy Partners on its $2.1 billion acquisition of NET Midstream, a private company that owns long-term contracted gas pipelines in Texas. The deal includes the NET Mexico Pipeline that delivers natural gas from the Eagle Ford Shale to the Mexico border. The Locke Lord team was led by Bill Swanstrom, Greg Hill and Scott Arrington and included Van Jolas, Ed Razim, Scott Davidson, Tim Johnson, Ann Ryan Robertson, Eric Larson, Greg Cox, Nick Dickerson, Ben Smolij, Tammi Niven and Steven Stojic.
    • Represented Felix Energy when Devon Energy announced an agreement to acquire 80,000 net surface acres in the Anadarko Basin STACK play from privately held Felix, a portfolio company of EnCap Investments, for $1.9 billion. The transaction is expected to be completed in the first quarter of 2016. The Locke Lord team was led by Mitch Tiras, Joe Perillo and Terry Radney and included David Taylor, Walker Clarke, Hunter Summerford, Geoff Polma, Buddy Sanders, Eric Larson, Jerry Higdon, Ann Williams and Iliana Ivanova.
