A team of Edwards Wildman lawyers advised Modified Polymer Components, Inc. in a strategic merger with Biomedical Structures, LLC. The transaction involved our client Ampersand Capital Partners as one of several sellers of Biomedical Structures, LLC. Modified Polymer Components, Inc. is a California-based company specializing in the design, prototyping and manufacture of polymer components for the medical device, electronics, aerospace, biotech and semiconductor industries. Biomedical Structures, LLC, a Rhode Island-based company, specializes in the design and manufacturing of medical textiles for device manufacturers in the orthopedic, cardiovascular, general surgery, and tissue engineering and regenerative medicine markets.
Biomedical Structures Holding Corp. merged with and into ModPo Holding Corp., the parent of Modified Polymer Components, Inc., with ModPo being the surviving corporation. Both ModPo Holding Corp. and Biomedical Holding Corp. are portfolio companies of Ampersand Capital Partners, which continues to own a majority of the surviving corporation.
