Jason Ulezalka concentrates his practice in the area of debt finance.

Jason represents borrowers and lenders on a variety of secured and unsecured lending transactions, including leveraged buyouts, senior and second lien financings, ABL credit facilities and subordinated/mezzanine loans. His clients include investment banks, direct lenders and other private debt investors, along with corporate borrowers, private equity sponsors and their portfolio companies. Jason is a Chartered Financial Analyst (CFA).

Jason’s experience includes the representation of:

  • Green Ivy Capital, LLC, a specialty finance company focused on making investments in the cannabis industry, in a $30 million senior secured term loan facility arranged for Verano Holdings, LLC, a cannabis company with a current footprint covering 12 U.S. states
  • Phoenix Tower International (PTI), a wireless communications infrastructure provider, in the closing of a $200 million senior secured credit facility with Goldman Sachs Specialty Lending Group to continue PTI’s growth in the United States
  • Lamar Advertising Company on a $400 million high yield bond transaction and an amendment to its $175 million accounts receivable securitization program
  • A Financial Group in the completed acquisition of IAS Parent Holdings, Inc., and its subsidiaries for a total enterprise value of $720 million, following a competitive auction process
  • Mandarinfish Holding Corp., a purchaser entity backed by family office sponsors, in the acquisition of Professional Association of Diving Instructors (PADI) from Providence Equity Partners
  • Palladium Equity Partners, LLC, in the completed sale of the parent company of DolEx Dollar Express, Inc., to a group of investors, including management
  • The agent and arranger of the following syndicated credit facilities:
    • $290 million senior secured credit facility in favor of a luxury clothing retailer
    • $240 million senior secured credit facility in favor of an international wine and spirits importer
  • Private equity sponsors (and their portfolio companies) in the following acquisition and/or recapitalization transactions:
    • $150 million senior secured credit facility used to finance the acquisition of a leading provider of property restoration and disaster loss recovery services
    • $370 million first lien and second lien credit facilities used to finance the recapitalization of a provider of touch-screen point-of-sale systems and payment processing services
