Locke Lord’s Stanley Keller Receives Prestigious James J. Fuld Award From Working Group on Legal Opinions Foundation

November 3, 2015 Stanley Keller of Locke Lord LLP was presented with the 2015 James J. Fuld Award by the Working Group on Legal Opinions Foundation (WGLO) at its recent Fall Meeting. This award is given to an individual or entity that has made a significant contribution to the field of legal opinions in business transactions.

“Stan is a pre-eminent leader in the field of third party legal opinions whose writings have helped shape the development of corporate and securities laws,” said Christopher D. Graham, a Co-Chair of Locke Lord’s Corporate and Transactional Department. “Stan’s rigorous intellectual attention, laser-sharp analytical thinking and deep knowledge are highly valued by his clients and peers alike.”

During his many years of practicing corporate and securities law, Keller has advised clients ranging from emerging companies to industry leaders. He regularly represents clients on public and private securities offerings and other corporate financings, mergers and acquisitions, and compliance with SEC rules, public disclosure requirements and other securities law and stock exchange requirements. Keller also focuses his practice on corporate governance, including advising on best practices, addressing institutional/stockholder activism and acting as special counsel to boards of directors and their committees.

Keller chaired the American Bar Association’s (ABA) Federal Regulation of Securities Committee during the height of the Sarbanes-Oxley era, and in that capacity had responsibility for interacting on behalf of the private bar with the SEC, other governmental officials and the stock exchanges. He also served as Chair of the ABA’s Legal Opinions Committee as well as Chair of the ABA’s Audit Responses Committee. In addition, he was active in the ABA’s Task Forces dealing with SEC Attorney Conduct Rules, Corporate Responsibility and Attorney-Client Privilege.

As a member of the TriBar Opinion Committee, Keller was the reporter for the Committee's Remedies Opinion Report and Preferred Stock Opinion Report. He was Co-Chair of the Task Force that drafted the Massachusetts Business Corporation Law and has chaired the Boston Bar Association’s Business Law Section and Corporation Law Committee.

WGLO, whose mission is to bring together all constituencies concerned with giving and receiving legal opinions, includes representatives from leading law firms, financial institutions, investment banks, rating agencies, state, local and specialty bar associations and other interested parties.
