Energy companies face significant headwinds in supplying the energy our country and the world need to grow and prosper. Stacy has over 25 years’ experience in helping energy companies to navigate these headwinds. As a legal executive at two different energy companies, Stacy learned how to unite a company’s various functional groups to achieve the company’s goals. In addition to executive in-house experience, Stacy has almost 20 years of outside counsel experience in counseling energy clients in various regulatory and litigation issues. He has appeared before the United States Supreme Court, various federal and state trial and appellate courts, and has significant arbitration experience.

While Stacy’s practice extends across the energy industry, he has significant experience in the midstream and upstream sectors. He regularly advises energy clients on all aspects of project development; regulatory; environmental; construction; commercial; corporate governance; contract, lease and royalty disputes; antitrust; land-owner issues; eminent domain; and class actions. He has also advised clients on a wide variety of civil and criminal business fraud, including matters involving anti-corruption laws (e.g., the Foreign Corrupt Practices Act, and the UK Bribery Act of 2010), export control requirements, International Traffic in Arms Regulations, and U.S. economic sanctions.

Energy

  • Led regulatory fight to obtain new permit for modernization construction project, managing regulatory permit application process, multiple hearings, appeals and TRO with a four-month deadline
  • Led and completed CFIUS, antitrust regulatory approval process, land and litigation due diligence, and legal integration for TransCanada’s purchase of Columbia Pipeline Group
  • Defended company’s storage assets in numerous suits seeking to overturn leases that could be held by storage or production
  • Led midstream company effort to address historical easements granting landowners tap rights
  • Provided day-to-day support to project team for all aspects of 250 mile natural gas pipeline built through Ohio and Michigan
  • Defended midstream company in class action on behalf of thousands ‎of landowners claiming that company did not have the right to ‎store natural gas on their land‎
  • On behalf of natural gas pipeline company, guided completion of all legal and eminent domain proceedings for numerous pipeline construction projects
  • Defended energy trading company in multiple state and federal MDL putative antitrust class actions alleging conspiracy to raise natural gas prices. Obtained summary judgement that state law claims were pre-empted by the Natural Gas Act. Summary judgement reversed by the United States Supreme Court.
  • Defended a major Chinese state-owned petrochemical company in U.S. Federal Court against a U.S. $2 billion claim arising from a commercial relationship. Court granted summary judgement which was upheld on appeal
  • Represented up-stream energy company in a claim brought by large landowner attempting to cancel lease that had been producing for over 50 years
  • Represented up-stream energy company in claim that lease terminated because lessor did not timely conduct drilling activities
  • Represented energy company in arbitration to determine sales agreement adjusted price
  • Represented upstream company in AMI dispute with geologist
  • Represented landowner in Bill of Review suit to overturn judgement entered in 1883 to recover the land and oil and gas produced since that time
  • Represented energy company in claim that all land titles underlying $100 million purchase agreement were not valid

Compliance/Investigations

  • Conducted numerous investigations related to FCPA, customs, financial fraud, transhipment, ITAR and insider trading
  • Significant experience with drafting and implementing compliance programs as well as Board and employee compliance training
