Jim's experience includes the representation of: 

  • Phoenix Tower International (PTI), a wireless communications infrastructure provider, in several transactions, including:
    • The closing of a $200 million senior secured credit facility with Goldman Sachs Specialty Lending Group to continue PTI’s growth in the United States
    • The closing of a $700 million senior secured term loan facility to continue its international expansion. The credit facility is the first Pan-Latin America facility of its kind secured by infrastructure assets
    • $80 million secured credit facility with a quasi-governmental lender in Ecuador
    • $58 million secured credit facility with a quasi-governmental lender in Bolivia
  • Mandarinfish Holding Corp., a purchaser entity backed by family office sponsors, in the financing for the acquisition of Professional Association of Diving Instructors (PADI) from Providence Equity Partners
  • PTC Inc. in a $1 billion secured credit facility
  • A syndicate of international lenders in a $288 million secured credit facility to an international firearms manufacturer
  • A syndicate of international lenders in a $100 million credit facility to an international firearms manufacturer, including negotiation and documentation in connection with release of spun-off non-core subsidiaries
  • A syndicate of national lenders in a $338 million secured credit facility to a national window manufacturing and distribution company
  • A syndicate of national lenders in a $275 million credit facility to a national dairy products company
  • A syndicate of national lenders in $475 million tax exempt bond facilities in connection with acquisition, development and construction of a continuing care retirement community
  • Direct pay letter of credit providers in connection with credit support relating to tax-exempt bond issuances and frequently acts as counsel in connection with direct purchases of tax-exempt bonds
  • Canadian and other foreign financial institutions in connection with credit facilities for foreign-based borrowers and their U.S. affiliates
  • Private equity groups in structuring senior, mezzanine and equity financings relating to acquisition transactions and dividend recapitalizations
