Edward A. Gencarelli, Jr.

Ed Gencarelli focuses his practice on corporate and transactional law. He represents investors, lenders, and private companies across a variety of industries in mergers and acquisitions and general corporate matters.

Prior to joining Locke Lord, Ed served as Judicial Extern to the Honorable Bruce M. Selya, Senior Circuit Judge for the United States Court of Appeals for the First Circuit.  He also served as the 2020 Janet D. Steiger Fellow with the Rhode Island Office of Attorney General.

Ed has been involved in the following transactions:

• Assisted in the representation of a private equity firm in its purchase of 100 percent of the membership interests of a Florida-based provider of commercial janitorial services to the restaurant and ‎hospitality industries
• Assisted in the representation of a provider of vehicle repair and preventative maintenance services in the purchase of substantially all of the assets of a Colorado-based auto repair shop
• Assisted in the representation of a market-leading hyper-automation IT expense management provider in its purchase of 100 percent of the membership interests of a subsidiary of a telecommunications company
• Assisted in the representation of Prospect Partners in its investment in affiliated companies Fontanesi & Kann, an HVAC equipment and servicing company, and Architectural Building Components, an architectural material supplier
• Assisted in the representation of a private investment firm in the purchase of 100 percent of the membership interests of a Texas-based provider of electrical utility construction and maintenance services
