Shawn Durrani represents private equity clients, including sponsors and lead investors in sponsor-led secondary transactions and related liquidity solutions with respect to legacy portfolio assets. He negotiates purchase and sale agreements and transfer agreements on behalf of institutional investors in portfolio secondary transactions for private fund interests.
Shawn also represents sponsors in the formation of private investment funds, including drafting all offering documentation and negotiating side letter agreements, establishment of subscription credit lines and related regulatory matters under the Investment Advisers Act and other securities laws.

Prior to going into private practice, Shawn was an Attorney-Advisor, Division of Clearing and Risk for the U.S. Commodity Futures Trading Commission where he reviewed the cross-border application of CFTC regulations applicable to derivatives clearing organizations, briefed the CFTC chairman, and drafted memoranda to the European Commission to affect a European Commission equivalence decision for the CFTC regulatory framework.
