Overview

Andrew Capalbo is a member of the Firm’s Private Equity and Venture Capital practice group, and focuses his practice on representing private equity, venture capital and other corporate clients on a wide range of transactional matters that include leveraged buyouts, exit transactions, public and private strategic mergers and acquisitions, joint ventures, and various stages of debt and equity financings. His practice also includes general corporate counseling, acting as outside counsel for portfolio companies of private equity clients, including with respect to corporate governance, compliance, employment and incentive equity matters.

Andrew attended Boston University Law School where he was a member of the Annual Review of Banking and Finance Law. Andrew was also a member of the School's representative team in the regional ABA-sponsored negotiation competition. Prior to law school, Andrew attended Brown University and was a member of the Brown Bears golf team.

  • Represented Nautic Partners and its portfolio company Healthcare Payment Specialists (HPS), a leader in helping healthcare providers optimize Medicare reimbursement, in the sale of HPS to TransUnion Healthcare Holdings, Inc., a subsidiary of TransUnion (NYSE: TRU)
  • Advised Nautic Partners and its portfolio company Family Physicians Group (FPG), one of the largest at-risk primary care providers serving Medicare Advantage and Managed Medicaid HMO patients in Greater Orlando, Florida, in the sale of FPG to Humana Inc. (NYSE: HUM)
  • Counseled Nautic Partners and its portfolio company Community Medical Group (CMG), a leading at-risk primary care provider serving over 70,000 Medicaid, Medicare Advantage, and Health Insurance Marketplace program patients in Miami-Dade County, Florida, in the sale of CMG to Centene Corporation (NYSE: CNC)
  • Counseled Nautic Partners in its recapitalization, in partnership with Company management, of ExactCare Pharmacy, a leading pharmacy focused on improving medication adherence for patients with chronic conditions and on multiple medications
  • Advised Nautic Partners in its acquisition of Community Medical Group, an operator of healthcare centers in Florida that provide Medicaid and Medicare services, offering primary and specialist care as well as diagnostic testing and laboratory services, from private equity firm Pine Tree Equity Partners and co-investors
  • Represented Genoa, a QoL Healthcare Company, a Nautic Partners portfolio company that is the leading behavioral health specialty pharmacy company in the U.S., in a strategic investment from Advent International
  • Advised Nautic Partners and portfolio company QoL meds in its combination with Genoa Healthcare, creating the nation’s market leading behavioral health specialty pharmacy company that will do business as Genoa, a QoL Healthcare Company
  • Represented Nautic Partners in its acquisition of Custom Window Systems, a manufacturer of premium impact resistant windows, doors and porch enclosures
  • Represented Sleep Experts, a Dallas-based mattress retailer, in its sale to a subsidiary of Mattress Firm (NASDAQ: MFRM)
  • Represented Vendome Group, LLC in its sale of the Healthcare Design Conference and Expo, Healthcare Design Magazine, the Environments for Aging and the Construction SuperConference to Emerald Expositions, LLC
  • Represented Hastings Equity Partners in the acquisition of Oklahoma-based Hybrid Tool Solutions, an oilfield service company that provides its clients with an innovative process for conducting frac plug drill outs
  • Represented Hastings Equity Partners in connection with the acquisition of Cactus Fuels, a Texas-based distributor of fuel and lubricants to upstream and midstream customers throughout the Permian Basin
  • Represented RFE Investment Partners in the simultaneous acquisition and combination of Stagnito Business Information and Edgell Communications, together creating a comprehensive business-to-business information, media and marketing resource serving retailers and their supplier/distributer partners in the North American grocery, convenience, big-box retail, specialty/apparel, hospitality and pharmacy markets
  • Advised certain majority members of Yankee Metro Partners, LLC in connection with the $2 billion three-way merger transaction involving Sidera Networks, Berkshire Partners and Lightower Fiber Networks
  • Advised a private equity fund in connection with its formation of a fiber-based telecommunications business via cash and in-kind investments from multiple venture funds and strategic partners, and the eventual sale of the company to a foreign strategic buyer
  • Advised a publicly traded company in connection with its acquisition of wireless system assets across six states for $235 million
  • Represented a private equity fund’s portfolio company in multiple leveraged acquisitions of data centers
  • Represented Columbia Capital in connection with its acquisition of Canara, Inc., a battery resale, installation, monitoring and maintenance services business serving datacenter operators and operators of other critical infrastructure
  • Advised Nautic Partners in its leveraged acquisition, in partnership with management, of QoL meds, a Pittsburgh-based specialty pharmacy serving the mental health community
  • Counseled Hastings Equity Partners in its control investment in Extreme Plastics Plus, Inc., a company providing liner, storage tanks and other installation services as well as distribution of a wide range of products to oil and gas exploration companies
  • Andrew represented client Lilliputian Systems, Inc., a developer of portable power products for consumer electronics, in completing a venture financing led by RUSNANO, a Russian government-owned investor in nanotechnology projects, and existing investors such as Altira Group, Intel Capital, Kleiner Perkins, Stata Venture Partners and Atlas Venture
  • Andrew has represented a Rhode Island-based life sciences start-up in obtaining angel financing, as well as an initial round of venture financing from Slater Technology Fund, a state-sponsored seed investor in Rhode Island technology companies, Clal Biotechnology Industries and Atlas Venture.
  • Represented the US-operating arm of a publicly traded French holding company in acquiring a regional electrical products and services distributor
  • Advised Nautic Partners in connection with its acquisition of Applied Consultants, Inc., a Texas-based provider of pipeline inspection services to oil and gas pipeline infrastructure industry
  • Represented a private equity firm in its acquisition of a Texas-based business that constructs and maintains pipeline and field processing infrastructures for oil and gas exploration and production companies
  • Represented a private equity client in connection with the acquisition of a leading designer, importer and distributor of pet apparel and fashion accessories based in San Francisco, California
  • Represented a French manufacturer of a ready-to-eat therapeutic food product in the negotiation of a joint venture with a US-based non-profit organization. The joint venture was formed to perform research, development and production of various food products that will be used to prevent and treat acute malnutrition
