Edwards Wildman Client Advisory - FTC Publishes Revised HSR Thresholds Effective for Transactions That Will Close On or After February 11, 2013


    The Federal Trade Commission (“FTC”) recently increased the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (“HSR”) filing thresholds applicable to transactions that will close on or after February 11, 2013. The new 2013 thresholds are slightly higher than the 2012 thresholds, and are as follows:

    New size-of-parties thresholds: $14.2M and $141.8M (up from $13.6M and $136.4M in 2012, respectively)

    New smaller size-of-transaction threshold: $70.9M (up from $68.2M in 2012)

    New larger size-of-transaction threshold: $283.6M (up from $272.8M in 2012) (size-of-parties thresholds are irrelevant for transactions exceeding this larger size-of-transaction threshold)

    The HSR filing fees remain unchanged (ranging from $45,000 to $280,000), although the fee required for a particular transaction will be determined based on the adjusted thresholds set forth above.
