He has particularly broad experience in the midstream space relating to the operation of pipelines, processing plants, storage facilities and related assets, including drafting and negotiation of gathering, exchange and transportation agreements; and processing agreements.

  • WildFire Energy I LLC in the acquisition of Brazos Valley Region of Eagle Ford asset from Chesapeake Energy Corporation for $1.425 billion
  • Rio Grande E&P LLC and Intrepid Investment Management, LLC, in the sale of all oil and gas assets to undisclosed buyers
  • Crestwood Equity Partners LP in the divestiture of Barnett Shale Assets to EnLink Midstream
  • WildFire Energy in Eagle Ford asset acquisition from MD America Energy
  • Enterprise Products Partners in the acquisition of Navitas Midstream Partners, LLC, for $3.25 billion
  • WildFire Energy in the acquisition of Hawkwood Energy
  • Range Resources Corporation in the sale of oil and gas properties to Castleton Resources LLC for $245 million
  • WhiteWater Midstream on the fundamental natural gas liquid purchase and transportation agreements and related regulation of NGLs produced in the Permian Basin, in conjunction with the formation of a joint venture with MPLX LP and West Texas Gas, Inc., and the acquisition of an undivided joint interest in the EPIC pipeline
  • White Deer Energy in the sale of portfolio company On Point Oilfield Holdings, LLC, to Gravity
  • Woodland Midstream II, LLC, in the acquisition of the James Lake System from a privately-owned seller

  • Enterprise Products Operating LLC in numerous gathering, processing, transportation and similar transactions
  • Spur Energy Partners LLC in an acquisition from Percussion Petroleum LLC of its Permian Northwest Shelf assets in Eddy and Lea Counties, New Mexico, as well as associated water and midstream assets
  • WildHorse Resource Development Corporation in the completed divestiture of its North Louisiana assets to a third party for net proceeds of approximately $217 million
  • WildHorse Resource Development Corporation in the acquisition of approximately 111,000 net acres and associated production from Anadarko Petroleum Corporation and affiliates of Kohlberg Kravis Roberts & Co L.P. for aggregate consideration of $625 million
  • Lead Associate in representing Enterprise Products Partners in its $2.15 billion acquisition of 460 miles of natural gas gathering pipeline and 10 gathering plants from Pioneer Natural Resources and Reliance Industries, including the negotiation of related 20 year-term commercial agreements for gathering, transportation, gas processing and processed condensate purchase and sale
  • Lead Associate in representing Felix Energy, LLC, in its $1.9 billion divestiture of developed and undeveloped oil and gas properties in Oklahoma’s stack play to Devon Energy Corp
  • Lead Associate in representing Southwestern Energy in its $500,000,000 divestiture of 100 miles of gathering pipeline located in the Marcellus Shale to Howard Energy Partners
  • Lead Associate in representing Energen Resources in its $400,000,000 divestiture of producing and undeveloped oil and gas properties located in the Permian Basin
  • Lead Associate in representing Memorial Production Operating in its $935,000,000 acquisition of oil-producing (tertiary recovery) assets and related infrastructure in Wyoming
  • Lead Associate in representing energy client with respect to its day-to-day operations, including the negotiation and drafting of vendor and customer purchase and sales agreements with values up to $1 billion
  • Lead Associate in representing energy client with respect to its day-to-day operations, including the negotiation and drafting of transportation, exchange, storage and construction agreements
  • Assisted in representing energy client in its $617 million divestiture of oil and gas properties in Oklahoma and Texas
  • Assisted in representing energy client in the $7 billion acquisition of a competitor's oil and gas operations, acreage and infrastructure in the Permian Basin of West Texas and New Mexico and in Egypt's Western Desert as well as its upstream natural gas business in western Alberta and British Columbia
  • Represented energy client in the drafting of general purpose Master Services Agreement and subsequent negotiation with vendors for operations and procurement at its propylene petrochemical facility
  • Assisted in representing energy client in its $560 million acquisition of a 65% stake in a competitor which owns one of the world's largest ammonia production plant in Western Australia and subsequent disposition of 40% of said stake
  • Represented multiple portfolio companies in the negotiation and drafting of various midstream agreements, including gathering, processing and construction agreements
  • Assisted in representing energy client in connection with its $366 million sale of certain Permian Basin Wolfberry Trend oil and gas assets
  • Assisted in representing energy client in connection with the formation of a $1.8 billion joint venture for the joint ownership, development, construction, operation and maintenance of the largest gathering and midstream system in the Haynesville Shale of Northwest Louisiana
  • Represented energy client in drafting general purpose Master Services Agreement
  • Represented energy client in the negotiation and drafting of underground storage and brining lease
  • Assisted in representing energy client in the engineering, procurement, construction and financing of a $650 million propane to propylene petrochemical plant located in Pasadena, Texas
  • Represented energy client in connection with the negotiation and drafting of its feedstock and offtake agreements
  • Assisted in representing a private seller in the sale of approximately 75,000 net acres of Marcellus Shale fee mineral interests located in Pennsylvania and West Virginia
  • Assisted in representing energy client in its capacity as lead underwriter in connection with the initial public offering of a Canadian Income Trust holding solely U.S. oil and gas assets
  • Assisted in representing energy client in connection with the multi-well development of Outer Continental Shelf leases in the Gulf of Mexico
  • Assisted in representing an international integrated oil and gas corporation in connection with the negotiation of agreements related to the construction and joint ownership of a floating host production facility in the deepwater Gulf of Mexico as well as the construction and related transportation agreements for two approximately 130-mile new-build oil and gas gathering and transportation pipelines
