Brockmeyer, an attorney in the Firm’s Los Angeles office, is a key contributor to the American Bar Association’s recently published Model Stock Purchase Agreement with Commentary (Second Edition). The two-volume set, complete with CD-ROM and exhibits, is considered an important resource for lawyers around the country who must decipher the complex, frequently changing rules that govern the structuring and documenting of business transactions.
The model agreement is written as a buyer’s reasonable first draft in the hypothetical acquisition of the capital stock of a private U.S. company. Explanatory commentary on each provision of the agreement is provided and suggestions are made as to items the seller’s counsel might want to change.
