(LOS ANGELES) September 29, 2010 – Locke Lord Bissell & Liddell’s Neal H. Brockmeyer, an attorney in the Firm’s Los Angeles office, is a key contributor to the American Bar Association’s recently published Model Stock Purchase Agreement with Commentary (Second Edition). The two-volume set, complete with CD-ROM and exhibits, is considered an important resource for lawyers around the country who must decipher the complex, frequently changing rules that govern the structuring and documenting of business transactions.

The model agreement is written as a buyer’s reasonable first draft in the hypothetical acquisition of the capital stock of a private U.S. company. Explanatory commentary on each provision of the agreement is provided and suggestions are made as to items the seller’s counsel might want to change. A summary of the new edition can be found at this website address:

Brockmeyer has served on ABA Business Law Section committees for many years and has been on the editorial committees of several publication task forces. He has spent decades representing public and private companies in their general corporate and securities matters, and he has been listed for more than 25 years among Best Lawyers in America in the specialties of corporate governance and compliance, corporate, mergers and acquisitions and securities law. He is a former chair of the Corporations Committee of the California State Bar’s Business Law Section and past chair of the executive committee of the Business and Corporations Law Section of the Los Angeles County Bar Association.
