Basic MLP Structure and Issues

    Locke Lord will host a CLE program entitled, “Basic MLP Structure and Issues.” This presentation will provide an overview of master limited partnerships (MLPs) including structure and parties involved, securities and tax matters.

    Dan Fleckman (Houston, Partner): Dan Fleckman has over 30 years experience and is an accomplished transactional lawyer. He represents publicly held and private companies in corporate finance, corporate governance, mergers and acquisitions, strategic alliances and other general corporate matters. His experience includes: representation of publicly traded master limited partnerships; public and private debt and equity offerings; mergers and acquisitions; tender offers; strategic alliances and joint ventures; private equity fund formation and acquisitions.

    David Taylor (Houston, Partner): David Taylor has more than two decades of experience representing public and private companies, including master limited partnerships, in a broad range of corporate and securities matters, with a strong focus on securities offerings and disclosures, mergers and acquisitions and corporate governance. Additionally, he focuses on mergers and acquisitions – including tender offers and related transactions – across a wide range of industries.

    Jeffrey Wallace (Dallas, Senior Counsel): Jeffrey Wallace represents both private and public companies and funds in connection with all aspects of their tax, transactional and business needs, including tax structuring and strategies, debt and equity placements, domestic and foreign investment in U.S. assets, mergers, acquisitions and entity formation, governance and operations. In particular, he concentrates on pass-through and tax advantaged entities, including joint ventures, partnerships, limited liability companies and real estate investment trusts.

    Credit pending for Minimum Continuing Legal Education credit by the State Bar of Texas Committee on MCLE in the amount of 1.0 credit hours, of which 0 credit hours will apply to legal ethics/professional responsibility credit.
