Marc Lipscomb represents public and private companies, private equity funds and institutional investors with a focus on the energy industry. He has provided counsel with respect to public and private mergers and acquisitions, private equity-sponsored transactions, joint ventures, corporate restructurings, corporate governance matters and other strategic commercial transactions.

Marc returned to the Firm in 2022 after serving as Deputy General Counsel to Steward Health Care System where he managed the legal processes relating to M&A and other transactional activity globally. He also advised on transaction structure, regulatory compliance and other legal matters with respect to acquisition, divestiture, joint venture, partnership and similar arrangements throughout the U.S.

Marc has additional experience in representing public and private companies, private equity funds and individual and institutional investors across a broad array of industries, including hospitality, healthcare, technology, real estate and business services and manufacturing.

  • Steward Health Care System’s $1.1 Billion acquisition of five Miami-area hospitals from Tenet Healthcare
  • Steward Health Care System’s international affiliate’s acquisition of three hospitals in Colombia
  • Brookfield Business Partners L.P.’s acquisition by merger of the outstanding publicly held common units of Teekay Offshore Partners L.P. (NYSE: TOO)
  • ArcLight Energy Partners Fund V, L.P.’s acquisition by merger of the outstanding common units that ArcLight did not own of American Midstream Partners, LP (NYSE: AMID)
  • J.C. Penney Company, Inc.’s and its affiliates’ pre-arranged Chapter 11 cases
  • A private equity firm’s $100 Million term loan facility and preferred equity investment in the private equity arm of a family office focusing on upstream and midstream energy markets
  • Ranger Energy Services, LLC’s acquisition of certain assets from EsCo Leasing, LLC
  • Various Triple-S Steel, one of the largest privately-owned companies in Houston, acquisitions of steel businesses
