Our representative projects include:
- Representing one of the largest anesthesia medical practices in the country in substantially all corporate, transactional, tax, employment, health care regulatory and other matters, including acquisition of other medical practices, negotiation and structuring of complex hospital contracts and advice on expansion of practice management services.
- Representing large hospital based physician practices in connection with the acquisition of other large physician practices.
- Formation and syndication of doctor-owned and managed surgical hospital and representation in financings, capital raising, negotiation of proposed sale and leaseback transaction to a public REIT, and all other corporate and health care regulatory matters.
- Representing a large, national physician practice management company in all aspects of its business including, but not limited to, corporate, transactional health care regulatory, labor and employment and litigation across the country.
- Representing 14 urgent care clinics on all corporate and health care regulatory matters.
- Representing radiology groups in negotiation of exclusive services agreements.
- Counseling physician groups on effective corporate compliance program, management and governance issues for practice.
- Representing buyers and sellers in the purchase and sale of physician groups and their medical management companies.
- General counsel representation of one of the nation’s largest Federally Qualified Health Centers.
- Represent non-profit acquirer in the segregation and transition of FQHC clinic operations from FQHC’s predecessor organization.
- Develop physician-owned ambulatory surgical center (ASC) and prepare and negotiate ASC management agreements.
- Representing physician group in the acquisition of physical therapy practices and other ancillary services.
