
Larry D. Davie is a senior counsel in the Corporate Department in Locke Lord’s Atlanta office. Throughout his legal career, Mr. Davie has focused on navigating U.S. and international companies of all sizes through a variety of corporate, transactional, business law, insurance, regulatory and compliance issues, gaining valuable experience as in-house counsel for financial institutions, including four years as in-house counsel for an international subsidiary of one of the “Big 6” banks of Canada. Mr. Davie’s experience spans a wide range of areas, including multi-state insurance regulation and licensing, insurance company mergers and acquisitions, financial services compliance, banking and finance, general corporate and transactional matters, administrative law, complex capital markets, life settlements, offshoring, international outsourcing, advertising and privacy.

Representative Experience
- Representation of insurance subsidiary of large NYSE listed company in insurance regulatory matters before 40 state departments of insurance, including international outsourcing matters.
- Representation of insurance companies in merger negotiations, due diligence, and regulatory filings associated with mergers and acquisitions.
- Representation of life settlement provider entity of large hedge fund in insurance regulatory matters.
Extensive experience in multi-state, multilayered insurance licensing issues and regulatory matters, including representing clients before most state departments of insurance.
- Significant experience working with state departments of insurance regarding complex insurance regulatory issues.
- Draft and negotiate various corporate and insurance documents, including merger agreements, stock and asset purchase agreements, commercial contracts.
- Counsel to clients on a range of insurance/reinsurance regulatory issues, including regulatory examinations and market conduct issues, affiliated and other holding company act transactions, corporate governance, viatical and life settlement transactions and portfolio purchases, viatical and life settlement broker and provider compliance, third party administrator compliance, insurance producer fee sharing and rebating, financial audit regulation, print and online advertising compliance.
- Counsel to clients on a range of corporate matters, including company structure, formation, governance, drafting and negotiating various corporate documents, merger agreements, commercial contracts, service agreements, corporate policies and training materials, anti-fraud initiatives and privacy matters.
