Our electricity clients keep coming back to us because of the industry experience and creativity that we consistently bring to their needs. Whether we are representing a major merchant generation company in acquiring 1700 MW of coal-fired generation in a new market, a developer of greenfield generation in emerging markets, or a utility trying to implement a novel RFP approach, our goal is to find a way to help our clients achieve their business objectives through a combination of know-how, hard work and a can do attitude.
Our energy practice group has worked with generation assets of virtually every size, fuel type and geographic region. Domestically we have represented acquirers, developers and sellers of coal, gas, wind and biomass generation assets in nearly every market, including PJM and ERCOT. And we have extensive depth internationally as well, including in most of the active Latin American markets, China, Eastern Europe and Southeast Asia.
While the development of traditional generation assets have lessened in recent years, we have been extremely active in the development of wind farms. We have represented either the developer or the financer in the development of over 1,500 MW of wind-powered generation in the last five years. As those assets have begun to change hands, we have been actively involved in representing the buyers and sellers of wind farms as well.
The following is merely a representative sampling of some of the electric industry transactions we have led:
- Represented a privately held power generation company in the sale of its 50% interest in a 300 MW dual fueled cogeneration facility located in Georgia.
- Represented a privately held power generation company in its acquisition of 1,700 MW of generating assets for $1.47 billion, including the negotiation of tolling and energy management services agreements.
- Represented a major merchant generation company in the sale of its 539 MW natural gas fueled power generation facility located in Georgia.
- Represent a major merchant generation company in the sale of its interest in a coal-fired generation plant under construction in Arkansas.
- Represented a major international company in connection with its roles as an investor in, and EPC contractor for, the proposed expansion of the South Texas Nuclear Project, including preparation of comprehensive due diligence reports and analysis of Texas law matters relating to the development, construction and financing of the expansion project.
- Represented a major public utility company in a sale-leaseback of a coal-fired plant.
- Represented a major public utility company in the acquisition of interests in nuclear facilities.
- Represented a multinational company in connection with its investment in and role as EPC contractor for expansion of a nuclear power facility in Texas.
- Represented Dynegy in the sale of its West Coast Power generation assets (located in Southern California) to NRG, and the acquisition of the Rocky Road generation assets in Illinois from NRG.
- Represented a public energy company in all facets of the development of a 588 MW cogeneration plant in Louisiana.
- Represented a private consortium in its proposed acquisition of over 400 MW of Central American power generation assets.
- Represented a significant energy commodity client in negotiating all aspects of an energy management agreement and related financing documents with respect to marketing the power from and purchase of fuel for a coal and oil fired power plant in the eastern United States.
- Represented a major merchant generation company in the sale of its 534 MW power generation facility on the Houston Ship Channel.
- Represented the offtake party in negotiating a long-term tolling agreement for a repowered 150 MW gas-fired power plant outside of Victoria, Texas, secured by a second lien on the facility.
- Represented a joint venturer in connection with a 110 MW barge-mounted oil-fired facility in Guatemala. This facility was the first barge-mounted facility ever developed.
- Represented a potential acquirer of two 500 MW merchant plants under development in Mississippi.
- Counseled a major private energy company in negotiating a power development, pipeline and energy marketing joint venture with a major electric utility. This project involved extensive regulatory analysis, assessment of existing power projects and energy trading operations, and negotiation of ownership, governance and risk allocation with respect to the joint venture. Starting with assets of more than $1 billion, this joint venture is considered one of the most successful energy traders in the country.
- Represented a private power developer in the development of a coal-fired heating plant in Beijing, China.
- Represented a major international energy company in the potential acquisition of a 150 MW facility in Southeast Asia.
- Represented a public energy company in the acquisition of a 263 MW cogeneration plant.
