
Nandita Berry represents clients in a wide variety of technology transactions. Her clients are in diverse industries and range from Fortune 500 companies to start-ups. She has extensive experience in all aspects of software transactions, including licensing, development, and resale. She has represented both licensors and licensees, and customers and vendors, in negotiating and drafting license agreements, enterprise wide license agreements, international license agreements, distribution agreements, master service agreements, consulting and professional service agreements, and confidentiality agreements. She is also experienced in the negotiation and documentation of web-based transactions.
Prior to re-entering private practice, Ms. Berry was in-house counsel for a NYSE traded Fortune 500 natural gas company where she was responsible for matters related to the Securities and Exchange Commission, SEC filings, NYSE filings and compliance, proxy and other corporate and securities matters. While in-house, Ms. Berry also had responsibility for managing legal costs and budget related to her role.
In the community, Ms. Berry sits on the nine member governing Board of Regents of the University of Houston System, a group of nine public institutions of higher learning, comprised of four universities and five multi-institution teaching centers. She chairs the Audit and Compliance Committee of the UH System, which has oversight of audit and compliance activities, and responsibility to ensure full compliance with all applicable local, state, and federal laws and regulations, including NCAA compliance. She is a member of the Facilities, Construction and Master Planning Committee, which has oversight of policy and performance related to the physical assets, as well as approval of all capital priorities. She speaks in public about higher education and the University of Houston.
