Steven Roper advises clients in a wide variety of corporate, commercial, licensing, financing and real estate matters. He has represented both public and private companies in transactions such as business acquisitions and divestitures, the formation and operation of joint ventures, licensing and technology agreements, and real estate acquisition and development. His financing experience includes representing both financial institutions and borrowers in a variety of secured and unsecured credit facilities.

Corporate
Representing business organizations in purchases and sales of business assets, mergers, sales of subsidiaries and other business acquisitions and divesture transactions; advising clients on corporate governance and organizational matters; negotiating and advising clients on the operation of joint ventures, partnerships and other business relationships; negotiating confidentiality, non-compete, consulting, licensing, technology and distribution agreements; providing advice on commercial matters arising under the Uniform Commercial Code; and negotiating and finalizing settlements of commercial disputes.
Financing
Representing financial institutions and borrowers in connection with secured and unsecured credit facilities, syndicated loans, bond financings, letter of credit facilities, leveraged buy-out transactions and real estate loans; drafting and negotiating letters of credit; advising clients with respect to financial restructurings; and advising clients on security and collateral issues.
Real Estate
Representing purchasers and sellers of developed and undeveloped real estate; negotiating construction contracts; negotiating real estate lease agreements and sale-leaseback transactions; representing owners in property management agreements.
Mr. Roper represents clients in a number of different industries, including manufacturing, distribution, high technology, publishing, insurance and financial services.
Mr. Roper is a magna cum laude graduate of Harvard Law School (J.D. 1988). He also holds engineering degrees from the University of California at Berkeley (M.S. 1981) and California Polytechnic State University at San Luis Obispo (B.S. 1979).
