- Represented a private equity firm in the sale of a portfolio company,
- Represented a private equity firm in acquisition of a manufacturer of computer peripheral equipment,
- Represented public biotechnology company in a PIPE transaction involving convertible debt, and the an S-3 resale registration statement,
- Represented sellers of a company which manufactured jars, bottles and other containers for ladies’ cosmetics to a private equity firm,
- Represented Internet Service Provider in several PIPE transactions and an S-1 registration statement,
- Represented buyer in acquisition of Spanish language TV station. Later, represented seller in sale of the station to a Spanish language network,
- Represented radio program syndication company in IPO and several secondary offerings,
- Represented large radio network in acquisition of other national networks,
- Represented public chemical company in acquisition of privately held water treatment company,
- Represented privately held valve manufacturing company in its sale to a public company,
- Represented real estate investment trusts (REITs) in initial public offerings and secondary equity and debt offerings,
- Represented, as special California counsel, several REITs and real estate syndications in California securities matters, and
- Represented buyers and sellers of corporate jet aircraft.
