Whit Roberts has extensive experience in a broad range of merger and acquisition, corporate finance and other corporate and joint venture transactions. He regularly works on merger and acquisition transactions (asset sales, stock sales and mergers, including going-private transactions and spin-offs and sales of divisions) in which he represents public and private companies and special committees and financial advisors. Mr. Roberts has represented a number of clients, including families and family offices, ESOP-owned companies and China-based clients, in negotiations to buy and sell businesses based in the U.S. and internationally. He also has represented clients that have carried out a series of acquisitions to consolidate or roll-up an industry, including a Fortune 500 subsidiary in the acquisition of over 50 businesses in the commercial building services industry.
Mr. Roberts has extensive experience in venture capital financings, public offerings and private placements, as well as reporting and disclosure requirements under securities laws. He has represented companies and investors in venture capital transactions in a variety of industries, including SaaS or “Software as a Solution” companies in hospitality, real estate services, healthcare, oil & gas and procurement. He has worked on initial public offerings and follow-on public offerings in a variety of industries, including hospitality, financial services, restaurant and retail. He has worked with ESOP-owned companies in senior and mezzanine debt financings. His representations include simultaneous equity and senior and mezzanine debt financings utilized to fund the contemporaneous acquisition of multiple target companies. He has represented the developer of privately financed cancer treatment centers in its equity and debt financing transactions and related supply and services agreements.
Mr. Roberts advises on organizational, structuring and governance matters for corporations, joint ventures and their boards and other governing bodies. He has represented a joint venture made up of six leading companies in the hospitality industry. He represented the U.S. subsidiary of a worldwide telecommunications company in its spin-off and restructuring into multiple U.S. subsidiaries organized along lines of business.
Mr. Roberts has advised numerous clients in business separation matters (also known as a business divorce) in a wide variety of industries, including hedge funds, oil & gas, real estate development, website consulting and development, medical diagnostic services and medical office management.
Mr. Roberts also represents clients on their important and strategic commercial agreements, including equipment purchase agreements for advanced technology cancer treatment equipment and related physician and professional services, distribution agreements, technology licenses and other agreements. Mr. Roberts has been named in prior years as one of the "Best Lawyers in Dallas Under 40" by D Magazine and a "Super Lawyer" by Texas Monthly Magazine.
