- Lead counsel to El Paso Corporation in the sale of its oil and gas exploration and production units in a $7.15 billion leveraged buyout to a private equity consortium led by Apollo Global Management. This sale was the second-largest private equity takeover of an energy producer.
- Represented El Paso Corporation in joint venture with Global Infrastructure Partners to construct, own and operate an interstate natural gas pipeline.
- Represented private equity investor in $150 million sale of its interest in a liquefied natural gas receiving terminal.
- Represented Hunting Plc, a U.K.-based oil services provider, in its purchase of the Titan Group from Riverstone Holdings for $775 million.
- Represented Hunting Energy in its $125 million purchase of supplier of harsh environmental electronics technology.
- Represented Hunting Energy on the acquisition of Dearborn Precision Tubular Products, which provides specialist precision machining services, for $83.5 million.
- Represented Hunting Energy on the acquisition of W.L. Doffing, a company that provides high precision machining services to the energy industry.
- Represented Hunting Energy on the acquisition of Specialty Supply, a company that manufactures precision machined MWD parts used in directional drilling markets worldwide.
- Represented shareholders of Harbison-Fischer, Inc. in the sale of Harbison-Fischer to Dover Corporation for $402.5 million.
- Represented Kinder Morgan in its sale of Arrow Terminals B.V., a company which owns and operates a bulk terminal facility located in the Netherlands, to Pacorini Metals Europe B.V.
- Represented shareholders of Borco, Inc. and Hasco Manufacturing Company, which manufacturer oilfield service equipment, in their sale to Weatherford.
- Represented international energy service company in its purchase of a leading provider of well abandonment and decommissioning services.
- Represented private equity fund, White Deer Energy LP, in its $52 million investment in O-Tex Pumping LLC, the largest independent provider of downhole cementing services to the Texas and Oklahoma oil industry.
- Represented White Deer Energy LP in its $50 million investment in Fiberspar Corp., the industry leader in high-strength, fiber-reinforced tubular products for the oil and gas industry.
- Represented White Deer Energy LP in its sale of Fiberspar Corp. to National Oilwell Varco.
- Represented CRS Proppants, which provides raw and resin coated sand to oilfield service and exploration & production companies for use in hydraulic fracturing of oil and gas wells, with an investment by a private equity group.
- Represented international energy services company in its $55 million acquisition of a leading subsea hydraulic coupling technology company.
- Represented largest shareholder of medical and hazardous waste disposal company in $185 million merger.
- Represented shareholders of Curtis Bay Energy, which provides regulated medical waste disposal services to hospitals and health care providers in the East Coast Region, in their sale of stock to a private equity firm.
- Represented leading offshore call center and back-office processing company in $85 million sale to information technology services company.
- Advised the special committee in a sale of a publicly traded energy company to an investor group.
