Eric J. Stiff is a partner in our Sacramento and San Francisco offices, and he represents emerging and established companies in a variety of practice areas, including mergers and acquisitions, capital markets, public and private securities offerings (equity and debt), venture capital, private equity and international transactions. His clients include companies and funds in many industries, including technology, life sciences, manufacturing, medical and pharmaceutical, renewable energy and real estate.
Mr. Stiff has been consistently selected by his peers and listed in the prestigious The Best Lawyers in America (2012, Leveraged Buyouts and Private Equity Law) and was named as Northern California Super Lawyer in Securities & Corporate Finance and Mergers & Acquisitions (2012). He has also been named as one of San Francisco’s Top Attorneys (2011) by the San Francisco Chronicle and is rated AV (highest rating) by Martindale Hubbell.
Mr. Stiff concentrates on providing advice and guidance to private and public companies, investors and private equity funds in complex merger and acquisition transactions and corporate finance. This includes private capital raising and the representation of issuers and underwriters in initial and secondary public offerings under the Securities Act, the preparation and filing of reports under the Securities Exchange Act and compliance with the Investment Company Act and Investment Advisors Act.
As part of his representation, Mr. Stiff also counsels clients, CEOs, Boards of Directors and Special Committees in connection with a variety of business and corporate governance issues including fiduciary duty issues, business plan development, purchase and sale agreements, license agreements, joint venture agreements, shareholder agreements, buy-sell agreements, and consulting arrangements. Mr. Stiff provides advice in these areas to companies that do business in the U.S. and internationally.
