Advised the Government of Liberia on various investment agreements with foreign private investors for the lease and development of oil palm plantations, including the construction of processing mills and related infrastructure.

Represented a privately held power generation company in the sale of its 50% equity interest in a 308 MW electric combined cycle gas fired power plant located in the southeastern United States.
Represented a privately held power generation company in the acquisition of a 50% equity interest in a 103 MW combined cycle cogeneration facility located in the southeastern United States.
Represented a privately held power generation company in the acquisition of a 50% equity interest in a 120 MW combined cycle cogeneration facility located in the southeastern United States.
Represented a privately held power generation company in the sale of its 50% equity interest in a 480 MW combined cycle cogeneration facility in the western United States.
Represented a privately held power generation company in the sale of its 1/3 interest in a coal-fired facility located in California.
Advised a leading global investment bank in connection with the unwinding of several aircraft leveraged lease financing.

Renewable Energy Transactions

Advised the Government of Liberia on various investment agreements with foreign private investors for the lease and development of oil palm plantations, including the construction of processing mills and related infrastructure.
Advised the 1/3 owner of a coal-fired power generation facility in Southern California in the conversion of that facility to a biomass-fueled plant and renegotiation of the existing power purchase agreement.
Advised a construction company in the development of a LEED certified manufacturing facility in Los Angeles.
Advised a U.S. public company in the potential acquisition of an equity interest in a 140 MW wind project.
Advised a private equity firm in connection with the U.S. Department of Energy Loan Guarantee Program.
Represented creditors of a major ethanol producer in reviewing and assessing the construction and development agreements, feedstock agreements and related hedging arrangements, power sales agreements, and project financing documentation for multiple ethanol facilities in connection with a Chapter 11 bankruptcy proceeding.
Advised a developer in connection with the construction and operation of a biomass-fueled central utilities plant in Tennessee and the subsequent purchase and sale of generated steam and energy.
Advised a U.S. public utility in the acquisition and modification of a renewable resource (wind) power purchase agreement.
