Locke Lord's Sacramento office, led by Managing Partner Taylor Florence, serves our existing regional and international clients in the areas of health care, commercial litigation, products liability, environmental litigation, employment counseling and litigation, real estate and construction matters.
Our health care attorneys represent both well-established and start-up health care organizations, with a particular focus on the business, regulatory and litigation issues faced by health care entities, state regulatory and enforcement issues relating to medical and specialty health plans, and other managed care entities. We have a strong background in managed care operations, federal and state regulatory compliance, health plan and provider contracts, insurance and HMO laws and regulations, legislative interpretation and implementation, and related business transactions.
The corporate and securities group represents issuers, underwriters, institutional investors, placement agents, and investment companies in their U.S. and international financing activities in a broad range of public and private financing activities. We regularly advise clients in connection with equity and debt financing, including initial public offerings, PIPEs, convertible, exchangeable, and variable-rate debt and preferred stock offerings. In addition to preparation and filing of registration statements, periodic reports and proxy statements, we also negotiate and prepare securities purchase agreements, underwriting agreements/ placement agreements, private placement memorandums, U.S. SEC and FINRA filings, and listing applications, and are often engaged to address significant SEC and FINRA issues with regulators and representatives of the NYSE, AMEX and NASDAQ. We also represent domestic and international clients in a full array of merger and acquisition transactions including mergers, consolidations, stock or asset acquisitions and dispositions, divestitures, leveraged and management buyouts, strategic alliances and joint ventures.
Our litigators serve clients with complex cases in industries ranging from high-technology, consumer products, registered broker-dealers, energy, utilities and retail businesses. We advise clients on all aspects of contractual disputes, intellectual property disputes, creditor's rights, fiduciary duty and securities claims and alleged regulatory violations. We also advise real estate developers, contractors, sureties, subcontractors, vendors, suppliers and insurers, including providing risk management advice and contract review to limit the potential for and/or the extent of any litigation that may arise in the future from the development and construction of residential and commercial properties.
Our tax group provides full representation in federal, state, local, and international tax matters. We counsel individuals and private and public business entities, including corporations, partnerships, limited liability companies, and nonprofits, on tax matters in a variety of circumstances including business formations and operations including mergers and acquisitions, succession planning and reorganizations. We provide ERISA and tax advice to our clients including establishment and operation of single-employer and multi-employer pension plans, welfare benefit plans (including COBRA and HIPAA compliance) and employee stock ownership plans (ESOPs). In addition, our attorneys prepare and advise clients with respect to executive compensation arrangements (including executives of public companies) and equity incentive plans and deferred compensation.
Our IP group in Sacramento represents clients in patent prosecution and litigation (e.g. infringement) actions and advises and counsels clients in the selection, registration, and protection of trademarks, trade dress, service marks, trade names, domain names, and copyrights. Our attorneys take specific aim to advise clients on issues of availability, selection, use, and registration of trademarks, and counsel clients in developing individualized domestic and global trademark protection strategies, licensing and transfer agreements, trade secret protection, intellectual property protection in cyberspace, Internet issues, domain name registration, rights of publicity, trademark dilution, and copyright protection.
