Overview
Locke Lord has one of the leading midstream practices in the nation. Our midstream clients turn to us for our in depth understanding of this vital but historically underappreciated link in the energy value chain. We have extensive experience in the buying and selling of midstream assets, with transaction values ranging as low as $5 million to billions of dollars. In recent years, as midstream companies have focused more on building new energy infrastructure, we have been there for our clients, working side-by-side with them in the development of gathering, storage, processing and pipeline assets, again ranging from the smallest projects to the largest interstate gas pipeline project in over 20 years.
Our midstream clients also turn to us for their ongoing operational needs, including gathering contracts, transportation contracts, processing agreements, gas storage agreements and commodity purchase and sale agreements.
The following is only a sampling of the matters in which we helped our clients realize their business objectives:
- Representing a joint venture in the development of an Alaska natural gas pipeline, gas treatment plant and related facilities, the largest infrastructure development project in the history of North America.
- Representing a joint venture in the development of a 500 mile natural gas pipeline, including with respect to all commercial and regulatory aspects of that development. The pipeline originates in Oklahoma and terminates in the Southeast.
- Represented a joint venture between Kinder Morgan and Sempra in the development of the Rockies Express Pipeline, the largest gas pipeline development project in North America in over 20 years.
- Represented a major energy company in a joint venture with a private equity fund to construct, own and operate an interstate natural gas pipeline traversing the Rocky Mountain region, with a total transaction value of $700 million.
- Represented a large energy private equity fund in a $700 million joint venture to develop gathering and processing assets in the Marcellus Shale.
- Represented a diversified oil and gas company in the development of an interstate liquids pipeline, including with respect to all regulatory, commercial and eminent domain issues.
- Representing a diversified natural gas company in the expansion of its pipeline system in Florida.
- Represented an independent gas storage company in its recapitalization transaction with one of the world’s largest private equity funds, and in its subsequent development and expansion of gas storage facilities.
- Represented a public energy company in its negotiation of a gas gathering joint venture and related commercial agreements.
- Represented Northern Borders in its $3 billion acquisition of NGL and other midstream assets from ONEOK.
- Represented a publicly-traded company in the sale of its mid-continent gathering systems, transmission pipelines and processing facilities for over $300 million. The assets covered by the transaction included eight gas processing plants, interests in two other plants, and approximately 7,000 miles of gas gathering and intrastate pipeline transmission systems in Oklahoma, Kansas and the Texas Panhandle.
- Represented a public energy company in the complex restructuring of commercial agreements in connection with a gas processing, fractionation and storage facility located in Louisiana which handles gas produced in the Gulf of Mexico, including processing agreements, interconnection agreements, transportation agreements, storage agreements, marketing agreements, purchase agreements and exchange agreements.
- Represented Merrill Lynch Commodities in negotiating its multi-year billion dollar capacity agreement for Sempra’s Cameron LNG regasification facility.
- Represented a private midstream company in $85 million acquisition of gathering assets in Texas, Louisiana and Wyoming.
- Represented a private consortium in acquisition of Enron’s 50 percent interest in the Centragas pipeline system in Brazil.
